Scope
These Terms and Conditions govern all services provided by Michael Sowa, Salzburg, Austria, in the field of digital strategy consulting, brand architecture, website strategy, and related advisory services.

By engaging Michael Sowa for consulting services, the client agrees to these Terms and Conditions unless otherwise agreed in writing.

Services
Michael Sowa provides consulting services including, but not limited to, digital strategy consulting, brand positioning and brand architecture, website and platform strategy, digital marketing strategy, and advisory services related to AI-supported marketing systems.

The exact scope of services shall be defined in individual project agreements, written proposals, or other mutually agreed arrangements.

Project Execution
Consulting services are provided based on the information supplied by the client. The client is responsible for providing all necessary information and materials required for the execution of the project.

Michael Sowa performs all services with professional care and according to industry standards. Consulting services do not guarantee specific economic, strategic, or marketing outcomes.

Fees and Payment
Fees for consulting services are defined in individual project agreements or proposals.

Unless otherwise agreed, invoices are payable within 14 days of issuance. All prices are stated excluding VAT unless explicitly indicated otherwise.

Intellectual Property
All concepts, strategies, analyses, texts, and other work products created by Michael Sowa remain the intellectual property of Michael Sowa until full payment of all agreed fees has been received.

Upon full payment, the client receives the agreed rights of use for the intended project purpose. Any further use, reproduction, or transfer to third parties requires the written permission of Michael Sowa.

Confidentiality
Both parties agree to treat all confidential information obtained during the course of a project as strictly confidential. This obligation remains valid even after the termination of the business relationship.

Liability
Michael Sowa shall not be liable for indirect damages, loss of profits, or consequential damages arising from the use of the consulting services.

Liability is limited to cases of intentional misconduct or gross negligence as permitted under applicable Austrian law.

Third-Party Services
Projects may involve third-party providers such as software platforms, hosting providers, developers, designers, or other service providers. Michael Sowa assumes no liability for services provided by such third parties.

Applicable Law
These Terms and Conditions are governed by the laws of the Republic of Austria. The place of jurisdiction for all disputes arising from these terms shall be Salzburg, Austria, unless mandatory legal provisions provide otherwise.

Legal Validity
If any provision of these Terms and Conditions does not or no longer comply with applicable law, the validity of the remaining provisions shall remain unaffected.
